Acceptance of Terms

By accessing or using Kernso's services, including the Kernso ChatGPT app, APIs, and any associated interfaces (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including brands, developers, and end consumers.

Description of Service

Kernso provides intent resolution infrastructure for commerce. The Service resolves natural language queries to product recommendations using a knowledge graph. Kernso does not sell products directly. All purchases are completed on third-party brand or retailer websites.

Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to transmit harmful, abusive, or fraudulent content; attempt to reverse engineer, scrape, or extract the underlying knowledge graph or data; use the Service in any way that violates applicable laws or regulations; or impersonate any person or entity or misrepresent your affiliation.

Third-Party Links and Commerce

The Service may direct you to third-party websites or storefronts to complete purchases. Kernso is not responsible for the content, privacy practices, or transactions on those sites. Your interactions with third-party sites are governed by their own terms and policies.

Kernso does not process payments, hold inventory, or fulfill orders. All commerce occurs off-platform.

Intellectual Property

All content, technology, and data within the Service — including the Resonance Kernel, knowledge graph, intent taxonomy, and brand intelligence outputs — are the property of Kernso Corporation or its licensors. Nothing in these Terms grants you ownership of any Kernso intellectual property.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Kernso does not warrant that the Service will be uninterrupted, error-free, or that product recommendations will meet your expectations. Product availability, pricing, and descriptions are provided by brands and may change without notice.

Limitation of Liability

To the fullest extent permitted by law, Kernso Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or dissatisfaction with product recommendations.

Modifications to Terms

Kernso reserves the right to modify these Terms at any time. We will update the effective date at the top of this page. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of the State of Delaware.
